BUYASAP AFRICA – TERMS AND CONDITIONS OF SERVICE

Welcome to buyasap.africa (the “Platform” or “Site”). These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “user,” “customer,” or “merchant”), and IGBAGBOYEMI GLOBAL ENTERPRISES (“we,” “us,” or “our”), concerning your access to and use of our website, mobile applications, and any other media form, channel, or service related or connected thereto.

By accessing or using the Platform, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Platform, and you must discontinue use immediately.

1. Eligibility and Account Registration

• Minimum Age: You must be at least 18 years of age to use this Platform. By registering an account, you represent and warrant that you are of legal age to form a binding contract.

• Account Accuracy: When creating an account, you agree to provide accurate, current, and complete information. You are responsible for keeping this information updated.

• Account Security: You are solely responsible for safeguarding your password and managing access to your account. You must notify us immediately at techbuyasap@gmail.com if you suspect any unauthorized access or security breach of your account.

• Account Suspension: We reserve the right to suspend, terminate, or disable your account at our sole discretion, without prior notice, if we believe you have violated these Terms or engaged in fraudulent behavior.

2. Intellectual Property Rights

• Our Content: Unless otherwise indicated, the Platform, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by Buyasap Africa.

• Limited License: You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly for personal or internal business operations in accordance with these Terms.

• Prohibited Use: No part of the Platform, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.

3. User Conduct & Prohibited Activities

You may not access or use the Platform for any purpose other than that for which we make the Platform available. As a user, you agree not to:

• Use the Platform for any illegal or unauthorized purpose, or in violation of any local, state, national, or international laws.

• Systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

• Circumvent, disable, or otherwise interfere with security-related features of the Platform.

• Engage in unauthorized framing of or linking to the Platform.

• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any employee or agent of Buyasap Africa or other users of the Platform.

• Upload or transmit viruses, Trojan horses, or other malicious code that compromises the functionality of the Platform.

4. Products, Listings, and Pricing

• Descriptions: We make every effort to display as accurately as possible the colors, features, specifications, and details of any products or services available on the Platform. However, we do not guarantee that the product descriptions, colors, or specifications are completely accurate, reliable, current, or free of errors.

• Availability: All products and services are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any product or service at any time for any reason.

• Pricing: All prices are subject to change without notice. We reserve the right to correct any errors, inaccuracies, or omissions in pricing, even after an order has been submitted or processed.

5. Payments, Fees, and Subscriptions

• Payment Methods: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Platform. You agree to promptly update your account and payment information, including your email address and payment method details.

• Billing: We use secure, third-party payment processors to handle all monetary transactions. By placing an order, you authorize us to charge your chosen payment provider for any such purchases.

• Sales Tax: We will add sales tax or Value Added Tax (VAT) to the price of purchases as required by applicable laws (including Nigerian tax regulations, where applicable).

• Subscription Terms: For subscription-based services, your membership will automatically renew at the end of each billing cycle unless cancelled through your account settings or by contacting customer support.

6. Shipping, Delivery, and Fulfillment

• Delivery Estimates: Any delivery dates or times provided on the Platform are estimates only. While we and our logistics partners make every effort to deliver items within the estimated timeframe, we are not liable for any delays in delivery caused by third-party courier services, customs clearances, adverse weather, or other events beyond our reasonable control.

• Risk of Loss: The risk of loss and title for physical items pass to you upon our delivery of the items to the carrier/logistics provider.

7. Limitation of Liability

• “As Is” Basis: The Platform is provided on an “as-is” and “as-available” basis. You agree that your use of the Platform and our services will be at your sole risk.

• No Warranties: To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Platform and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

• Liability Cap: In no event will Buyasap Africa, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to defend, indemnify, and hold Buyasap Africa, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:

• Your use of the Platform.

• Your breach of these Terms.

• Any breach of your representations and warranties set forth in these Terms.
